Foreign Investment Violations in Oman: Sanctions and Appeals

Last updated: · SIA Law Firm

Conducting investment activity in Oman in breach of the Foreign Capital Investment Law issued by Royal Decree 50/2019 is not merely an administrative risk: the law attaches substantial fines and graduated sanctions that can reach licence cancellation — but it also binds them to procedures that protect the good-faith investor. Said Ibrahim Ambusaidi Advocates (SIA), a law firm in Muscat, explains the violations and sanctions system and the avenues of challenge.

How do violation proceedings begin?

Sanctions begin not with punishment but with notice: Article 28 of the Law requires the Ministry to notify the foreign investor in writing of any breach of the Law, its regulations or implementing decisions, to correct the violation within the prescribed period, which may be extended. If the investor fails to correct it, the Ministry imposes one of the graduated sanctions according to the violation’s gravity under Article 29, ranging from loss of incentives and privileges to suspension of the activity and beyond. The cure period is a core procedural right; skipping it taints the sanction and opens the way to its annulment.

What is the penalty for unlicensed investment activity?

Article 33 of the Law punishes any foreigner who conducts investment activity in breach of the Law with a fine of no less than twenty thousand Omani rials, and likewise punishes any Omani who participates with a foreigner in an investment project in breach of the Law. Commercial fronting and operating outside the licence expose both parties to liability, not the foreigner alone. The law is also strict on confidentiality: an official who discloses information obtained through his post about investment opportunities or a project’s technical or financial aspects faces punishment under Article 35.

Article 36 permits settlement of certain offences under the Law at any stage of the case before judgment, in return for a monetary payment — a practical exit worth assessing in eligible files.

How do you challenge the authorities’ decisions?

Article 30 of the Law established a committee, chaired by a counsellor of the Administrative Court, to hear grievances against decisions issued by the Ministry or the competent authorities in application of the Law. Grievances must be filed with the committee within sixty days of the date the person concerned was notified of the contested decision or acquired certain knowledge of it, under Article 31. Count the deadline precisely: a late grievance is lost. The judicial route remains thereafter, and investment project cases are heard with urgency under Article 17.

How do you manage a violation in practice?

  1. Never ignore the notice; the cure period is your best chance to close the file without sanction.
  2. Document everything proving correction — or that no violation existed — and submit it in writing before the period ends.
  3. If a sanction lands anyway, audit the procedure: were you notified in writing? Was a period granted? Is the sanction proportionate to the violation’s gravity?
  4. File your grievance within the sixty days, and do not let settlement talks eat the clock.

When to involve a lawyer

Involve a lawyer the moment you receive a violation notice, to correct it within the period and in a form that closes the file; when a sanction strikes you as procedurally flawed or disproportionate; when you are accused of unlicensed investment or of participating in it; when you want a settlement on the best terms; and when preparing your grievance in time.
