Commercial Agencies in Oman: Registration, Rights and Termination

Last updated: · SIA Law Firm

Distributing a foreign brand’s products in the Omani market usually runs through a commercial agency, a relationship the Omani legislator governs by a dedicated statute, the Commercial Agencies Law issued by Royal Decree 26/77 as amended, supplemented by the general agency provisions of the Commercial Law issued by Royal Decree 55/90. Said Ibrahim Ambusaidi Advocates (SIA), a law firm in Muscat, explains the framework and what agents and principals must watch.

What is a commercial agency and who may conduct one?

A commercial agency is a relationship in which the agent represents a company or producer in distributing or promoting its goods or services inside the Sultanate in return for profit or commission, whether structured as agency, distributorship or franchise. The law requires anyone conducting commercial agency business to be entered in the commercial register and to satisfy the conditions of the Commercial Agencies Law, which reserves the activity to Omani persons and companies within the ratios and controls it prescribes.

Why does registering the agency matter so much?

The Commercial Agencies Law requires agency contracts to be recorded in the commercial agencies register at the Ministry of Commerce, Industry and Investment Promotion. Registration is not a formality: it is what gives the agency its official protection before the authorities, and important practical processes — importation, clearance, after-sales service — are built on it. The agent should therefore confirm the contract is registered and renew the entry on time, and a foreign principal should verify its agent’s position in the register before any dispute.

The contract itself should be written and precise in scope: the covered products, the territory, the degree of exclusivity, the term and its renewal, performance targets, the treatment of stock and spare parts on expiry, and the governing law and dispute forum.

How does an agency end, and with what rights?

The most combustible agency disputes arise at termination: a principal wants to change its agent, while the agent has spent years building the market. The settled judicial approach is that terminating an agency at an inopportune time or without legitimate reason can entitle the agent to compensation for the harm suffered and the profit lost, according to the circumstances of each case: the length of the relationship, the agent’s investment in building the market, and the manner and notice of termination. Conversely, the agent does not become a permanent partner: a fixed-term contract ends with its term, and the agent’s serious breach justifies termination without compensation.

Drafting the termination clause properly from the outset — adequate notice, and clear treatment of stock and outstanding obligations — is the cheapest insurance against a long dispute.

Key facts

  • Commercial agencies in Oman are governed by the Commercial Agencies Law issued by Royal Decree 26/77 as amended, supplemented by the agency provisions of Commercial Law RD 55/90.
  • Conducting commercial agency business is reserved to Omani persons and companies meeting the law’s conditions.
  • Recording the agency in the commercial agencies register at the Ministry of Commerce, Industry and Investment Promotion underpins its official protection.
  • Termination without legitimate reason or at an inopportune time can entitle the agent to compensation, according to the circumstances.
  • A written contract fixing scope, territory, exclusivity and notice is both parties’ first line of defence.

When to involve a lawyer

Involve a lawyer before signing the agency contract to settle exclusivity, targets and the termination clause; when you receive notice terminating your agency, or want to end an underperforming agent; when stock, spare parts and post-termination obligations are disputed; and when entering the Omani market as a foreign principal wanting a sound distribution structure from day one.
